Terms of Service

1. Who this agreement is with

These Terms of Service ("Terms") are a legal agreement between you and Tempr LLC ("Tempr," "we," "us," or "our") governing your access to and use of the Tempr Visual Studio extension, the Tempr customer portal, and related services (collectively, the "Service"). By installing, activating, or using the Service, you agree to these Terms. If you don't agree, don't use the Service.

2. What the Service is

Tempr is a bring-your-own-key (BYOK) AI coding assistant for Visual Studio. You supply your own API key(s) for the AI provider(s) you choose to use (for example a first-party provider like OpenAI, Anthropic, or Google, an inference host like Together AI, or a gateway like OpenRouter). Tempr relays your requests to the provider(s) you configure using your own key and provides chat, inline code completion, agent tooling, semantic code search, and related features, gated by your subscription tier (Standard, Pro, or Teams once available).

3. Accounts and license keys

Certain features require a license key issued after you subscribe. You're responsible for keeping your license key and portal account credentials confidential, and for all activity under your account. Let us know right away at contact@temprhq.io if you suspect unauthorized use.

4. Subscriptions, billing, and trials

Paid plans are billed on a recurring basis through Stripe. Current plans, pricing, and trial terms are described on our pricing page and are subject to change; where pricing is marked limited-time, it applies for as long as you remain continuously subscribed, and may change for new or lapsed subscribers. Each paid plan currently includes a 7-day free trial; if you don't cancel before the trial ends, you'll be charged for the plan you selected. You can upgrade, downgrade, or cancel at any time through your Stripe customer portal; cancellation takes effect at the end of your current billing period.

5. No refunds

Except where required by law, payments are non-refundable, including partial subscription periods, unused trial time once a paid period has started, and downgrades mid-cycle. Cancel before your trial or renewal date if you don't want to be charged for the next period.

6. Bring-your-own-key and third-party providers

You are solely responsible for obtaining, paying for, and complying with the terms of any AI provider or aggregator account you connect to Tempr. We don't control, and aren't responsible for, the availability, output, pricing, or policies of any third-party provider. Your use of a provider's models through Tempr is also subject to that provider's own terms and acceptable-use policies.

7. Acceptable use

You agree not to use the Service to violate applicable law, infringe anyone's intellectual property or privacy rights, distribute malware, circumvent license or usage limits, or interfere with the Service's operation or other users' use of it.

8. Intellectual property

Tempr and its licensors retain all rights, title, and interest in the Service, including the extension, portal, and underlying software, excluding any code, prompts, or content you provide. You retain ownership of your own code and content.

9. Disclaimers

The Service, including any AI-generated output, is provided "as is" and "as available," without warranties of any kind, express or implied. AI-generated code and suggestions may be inaccurate or unsuitable for your use case — you're responsible for reviewing and testing anything the Service produces before relying on it.

10. Limitation of liability

To the maximum extent permitted by law, Tempr and its officers, employees, and licensors won't be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or revenue, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 3 months before the claim arose.

11. Termination

We may suspend or terminate your access to the Service if you violate these Terms or if required by law. You may stop using the Service and cancel your subscription at any time.

12. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we'll update the "Last updated" date above and, where appropriate, notify you. Continued use of the Service after changes take effect means you accept the updated Terms.

13. Governing law

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles.
