End User License Agreement

1. What this agreement covers
This End User License Agreement ("EULA") is a legal agreement between you and Tempr LLC ("Tempr," "we," "us," or "our") governing the Tempr software you install or run, including the Tempr extensions for Visual Studio, VS Code, and JetBrains IDEs, the Tempr CLI, and any related clients, updates, and documentation (the "Software"). Use of Tempr's hosted services — including the Tempr Portal and the Tempr Gateway — is also governed by our Terms of Service. By installing or using the Software, you agree to this EULA. If you don't agree, don't install or use it.
2. License grant
Subject to your compliance with this EULA and an active subscription or trial, we grant you a non-exclusive, non-transferable, revocable license to install and use the Software for your personal or internal business purposes. Teams plans are licensed per seat: each seat's login may be used by one named member. The CLI is licensed under the same subscription as Tempr Chat — no separate license is required.
3. License keys and activation
The Software is enabled by a license key issued after you subscribe. Keep your license key confidential and don't share, publish, or sell it. You're responsible for all activity performed with your key or account. If you believe your key has been compromised, contact us at contact@temprhq.io.
4. Your content
Your code, prompts, and any output generated for you remain yours. We claim no ownership of your content. Nothing in this EULA limits the rights you have in your own material.
5. Restrictions
You agree not to, and not to allow others to: (a) reverse engineer, decompile, or disassemble the Software except to the extent expressly permitted by applicable law; (b) copy, redistribute, resell, sublicense, rent, or lease the Software; (c) circumvent license validation, entitlement checks, or usage limits such as agent-turn limits, request quotas, or rate limits; (d) remove or obscure any copyright, trademark, or attribution notices in the Software; or (e) use the Software to build a competing product or service.
6. Third-party components and providers
The Software includes third-party and open-source components, which remain subject to their own licenses. Your use of AI providers through Tempr — using your own API keys — is separately governed by each provider's terms and acceptable-use policies, as described in the Terms of Service.
7. Updates
The Software may download and install updates automatically. Updates are part of the Software and covered by this EULA. You may disable automatic updates where the platform allows, but we may not be able to support outdated versions.
8. Usage limits
Each plan carries usage limits — for example, saved-session counts, agent-turn step limits, and delegation caps for Chat, and request quotas and rate limits for the Gateway. Current limits are published on our pricing page and in our documentation, and may change as described there.
9. Intellectual property
Tempr and its licensors retain all rights, title, and interest in the Software, including all intellectual property rights. This EULA grants you a license to use the Software, not a transfer of ownership.
10. Disclaimers
The Software and any AI-generated output are provided "as is" and "as available," without warranties of any kind, express or implied. AI-generated code and suggestions may be inaccurate or unsuitable — you're responsible for reviewing and testing anything the Software produces before relying on it.
11. Limitation of liability
To the maximum extent permitted by law, Tempr won't be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of data, profits, or revenue, arising from your use of the Software. Our total liability for any claim relating to the Software or Service is limited to the amount you paid us in the 3 months before the claim arose, consistent with the Terms of Service.
12. Termination
This license ends automatically if your subscription or trial ends, if your license key is terminated, or if you violate this EULA and fail to remedy the violation after notice. When it ends, stop using the Software and remove it from your systems. Sections 4, 9, 10, and 11 survive termination.
13. Changes to this EULA
We may update this EULA from time to time, for example when the Software or plans change. We'll update the "Last updated" date above and, where appropriate, notify you. Continuing to use the Software after changes take effect means you accept the updated EULA.
14. Governing law
This EULA is governed by the laws of the State of Georgia, without regard to conflict-of-law principles, consistent with the Terms of Service.
